GitPerennial — Terms of Sale & License

Last updated: September 2026

These terms govern your purchase and use of a GitPerennial license from Shallcross Consulting ("we", "us"). By completing checkout you agree to them. If you do not agree, do not purchase — the free version of GitPerennial remains available to you at no cost.

1. What you are buying

One license covers one person's two computers — for example a desktop and a travel laptop. Activation is limited to two machines per license. If you replace a computer, you can release its slot from within GitPerennial and activate the new one.

Teams: buy one license per person who uses GitPerennial. A license is not a site or seat pool — each maintainer who runs GitPerennial needs their own. You may not resell, sublicense, rent, share, lease, transfer, or redistribute the software or your license key, and a license may not be assigned to a different person, account, or company than the one that purchased it.

2. Delivery

Your license key is generated and shown to you on the receipt page immediately after payment, and emailed to the address you provide at checkout. The key is verified entirely on your own computer — no internet connection or contact with us is required after activation. Keep the email: it is your proof of purchase and your backup copy of the key. If you lose it, GitPerennial can restore a saved key from the same computer, or you may contact us (see section 6).

3. All sales are final — no refunds. GitPerennial is a digital product delivered instantly. A working license key is issued to you at the moment of purchase and cannot be "returned". Because of this, we do not offer refunds, exchanges, or cancellations once a purchase is complete, except where a refund is required by applicable law.

Try before you buy: the free version of GitPerennial tracks one repository forever, at full feature depth, with no time limit. Please use it to satisfy yourself that GitPerennial works for you before purchasing a license to track additional repositories. A license only removes the one-repository limit; it does not add features the free version lacks.

4. Your responsibilities

5. Warranty and liability

GitPerennial is provided "as is", without warranty of any kind, express or implied, including but not limited to merchantability or fitness for a particular purpose. We do not warrant that it will be error-free or uninterrupted, or that it will capture every data point GitHub exposes.

To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to GitPerennial or these terms is limited to the amount you paid for your license. We are not liable for indirect, incidental, or consequential damages, or for lost data or lost profits.

Nothing in these terms limits any liability that cannot be limited or excluded under the law that applies to you.

Indemnification. You agree to defend, indemnify, and hold Shallcross Consulting harmless from any claim, loss, or expense (including reasonable legal fees) arising from your use of GitPerennial, your GitHub token, or your violation of these terms or of GitHub's own terms of service.

6. Support

GitPerennial is a low-cost, one-time-purchase product from a small operation. Support is provided on a best-effort basis, with no guaranteed response time or availability, primarily through:

Purchasing a license does not entitle you to a specific response time, phone support, or custom development. New features, when they ship, are delivered as new versions; there is no promised release schedule, and support for a given version may be discontinued at our discretion without affecting your right to keep running the version you already own.

7. Termination

These terms, and your license, remain in effect until terminated. We may terminate your license if you materially breach these terms (for example, sharing your key or exceeding the two-machine limit through circumvention) and do not correct it after being notified. Termination does not entitle you to a refund. Sections 3, 4, 5, 8, and 9 survive any termination of these terms.

8. Changes to these terms

We may update these terms for future purchases. The terms that applied at the time of your purchase continue to govern that purchase. Material changes will be reflected on this page with a new "last updated" date.

9. Governing law

These terms are governed by the laws of the State of Illinois, USA, without regard to conflict-of-law rules, except where the mandatory consumer- protection law of your own country or state provides otherwise. Any dispute arising out of or relating to these terms or GitPerennial that is not subject to mandatory consumer-protection law shall be brought exclusively in the state or federal courts located in DuPage County, the State of Illinois, USA, and you consent to the personal jurisdiction of those courts.

10. Software license, not open source

GitPerennial's source code is proprietary and is NOT open source or freely redistributable. The public repository contains only compiled installers and documentation — no source code of any kind is published there or anywhere else. Purchasing a license grants you the right to run the compiled software as described above; it does not grant any right to the source code.

You may not decompile, disassemble, reverse-engineer, or otherwise attempt to derive the source code of GitPerennial, except to the extent applicable law expressly permits despite this restriction, and you may not redistribute the installers themselves.

11. Entire agreement; severability

These terms, together with any pricing shown on the landing page at the time of purchase, are the entire agreement between you and Shallcross Consulting regarding GitPerennial, and supersede any prior or separate understanding on the subject. If any provision of these terms is found unenforceable, the remaining provisions remain in full force and effect.
